| PT Asuransi Jiwa Tugu Mandiri (the "Company") was established by deed no.84 dated 28 June, 1985 by Mrs. Sinta Susikto, a notary in Jakarta. The deed was approved by Minister of Justice of Republic of Indonesia, as stated in decree no.C2-4283-HT.01.01.TH.86 dated 7 June, 1986 and was published in State Gazette of Republic Indonesia No.8 dated 27 January 1988, additional No.88. The Article of Association had experienced several changes. The last change was adjusted with the Law No.40 in year 2007 of Company status based on the decision of General Meeting of Shareholders dated 18 June, 2008 by deed No.14 dated 15 July, 2008 made by Mrs. Lenny Janis Ishak as notary in Jakarta and those changes had obtained approval from the Minister of Law and Human Rights of Republic Indonesia with decree No.AHU-42812.AH.01.02 dated in July 18, 2008. In accordance with deed, the Company engaged in life insurance and pension fund. The Company obtained business license based on the decree of Director General of Monetary Affairs No.Kep-082/KMA1/1986 dated 12 August, 1986 and operated commercially since 1987. In 1993, based on the decree of Minister of Finance Republic Indonesia No.Kep172/KM.17/1993 dated 16 August, 1993 the Company obtained approval to manage Financial Institution Pension Fund. While Pension Fund regulation used is based on the letter from Department of Finance Bapepam LK Bureau Pension Fund No.Kep-108/KM.10/2008 dated 11 June, 2008. The Company is located at Wisma Tugu Raden Saleh floor 1-2 Jl.Raden Saleh No.44 Center Jakarta 10330 and has marketing office in Jakarta, Bandung, Pekanbaru, Surabaya, Semarang, Palembang, and Medan. | |  |
